Please read these Terms of Service carefully before using any services provided by AvisSwitchTech. These terms govern your use of our services and form a binding legal agreement between you and AvisSwitchTech.
By accessing or using the services provided by AvisSwitchTech ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of any such changes.
AvisSwitchTech provides information technology services including but not limited to web development, software management and setup, data security and protection, IT management and support, digital branding, and system setup. The specific scope, deliverables, and pricing for each engagement are agreed upon in writing before work commences.
Clients are responsible for providing accurate information required for project completion, granting necessary access to systems and platforms, timely review and approval of deliverables, and payment of agreed fees on the schedule specified in the service agreement. Delays caused by the client may affect project timelines.
Payment terms are agreed upon in the individual service contract. Unless otherwise stated, invoices are due within 14 days of issuance. AvisSwitchTech reserves the right to suspend services for accounts that are overdue by more than 30 days. Late payments may attract interest at a rate of 1.5% per month.
Upon receipt of full payment, the client receives ownership of all deliverables created specifically for their project. AvisSwitchTech retains ownership of any pre-existing tools, frameworks, libraries, or methodologies used in delivering services. AvisSwitchTech reserves the right to display completed work in its portfolio unless the client requests confidentiality in writing.
Both parties agree to keep confidential all proprietary information disclosed during the engagement. This obligation survives the termination of the service agreement for a period of three (3) years. Confidential information does not include information that is publicly known, independently developed, or disclosed by a third party without breach of obligation.
AvisSwitchTech takes all reasonable technical and organisational measures to protect client data. However, no method of transmission over the internet or electronic storage is 100% secure. Clients are advised to maintain their own backups. AvisSwitchTech will promptly notify clients of any data breaches that affect their information.
AvisSwitchTech's total liability to the client for any claim arising out of or relating to services shall not exceed the total fees paid by the client in the three (3) months preceding the claim. In no event shall AvisSwitchTech be liable for indirect, incidental, special, or consequential damages, including loss of profit or data.
Either party may terminate a service agreement with 30 days written notice. AvisSwitchTech may terminate immediately if the client breaches these terms, fails to pay, or engages in illegal activity. Upon termination, the client shall pay for all work completed to the date of termination.
These Terms of Service are governed by and construed in accordance with the laws of South Sudan. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of South Sudan.
AvisSwitchTech reserves the right to modify these Terms of Service at any time. We will provide notice of significant changes via our website or by email. Your continued use of our services after changes take effect constitutes your acceptance of the updated terms.
